Abstract:
L'obiettivo di questa tesi, oltre a definire tutte le fasi rilevanti del processo di quotazione di un'azienda privata, sarà quello di concentrarsi sul caso dell'azienda svizzera in cui ho lavorato come controller nel periodo compreso tra aprile 2022 e settembre 2022.
Questa società è stata quotata al NASDAQ di New York il 14 settembre 2021 e costituisce un interessante caso di studio, che verrà esplorato attraverso un confronto tra le performance dell'azienda prima e dopo la quotazione. Si analizzerà quali rischi hanno costituito una minaccia importante e se, a distanza di un anno, con le risorse raccolte, tutti gli obiettivi prefissati sono stati raggiunti. L'oggetto centrale della ricerca sarà il cosiddetto "prospetto informativo", un documento obbligatorio ai fini della quotazione che ha un'importanza informativa strategica per i potenziali azionisti e contiene dati fondamentali utili per lo sviluppo della ricerca. Inoltre, verranno analizzati tutti i documenti di rendicontazione disponibili al pubblico, come i bilanci degli anni precedenti e le earnings call dei vari trimestri del 2022. Verranno analizzate nel dettaglio le strategie che l'azienda ha messo in atto per accelerare il suo processo di crescita nel mercato delle scommesse sportive e dell'intrattenimento, che sta vivendo una crescita esponenziale.
The objective of this thesis, in addition to defining all relevant steps in connection with the listing process for a private company, will be to focus on the case of the Swiss company where I worked as controller during the period from April 2022 until September 2022.
This company was listed on the NASDAQ in New York on 14 September 2021 and constitutes an interesting case study, which will be explored through a comparison of the company's pre- and post-listing performance. It will be analyzed which risks constituted a major threat and whether, one year on, with the resources gathered, all the targets set have been met. The central object of the research will be the so-called 'prospectus', a compulsory document for the purpose of listing that has a strategic informational importance to potential shareholders and contains fundamental data useful for the development of the research. In addition, all publicly available reporting documents such as financial statements from previous years and earning calls for the various quarters of 2022 will be analyzed. It will analyze in detail what strategies the company has implemented to speed up its growth process in the sports betting and entertainment market, which is experiencing exponential growth.
